1. Agreement to Terms

Welcome to Jackrabbit Ops. These Terms of Service ("Terms") govern your access to and use of our AI-powered operations platform for manufacturing businesses, including our website, applications, integrations, and related services (collectively, the "Platform").

By accessing or using Jackrabbit Ops, you agree to be bound by these Terms. If you are using the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Jackrabbit Ops provides an AI-powered operations platform designed for manufacturing businesses. Our services include:

• System Integration: Connections to MRP, ERP, CRM, and financial systems including SAP, Odoo, NetSuite, QuickBooks, Epicor, Katana, HubSpot, Salesforce, and more
• AI-Powered Querying: Natural language interface to query your manufacturing data across connected systems
• Real-Time Dashboards: Unified views of revenue, orders, inventory, and operational KPIs
• Automated Workflows: Invoice matching, exception alerts, margin analysis, and custom automations
• Manufacturing Analytics: Cost analysis, supply chain insights, and operational reporting

3. Account Registration

To use Jackrabbit Ops, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account
• Ensure authorized users comply with these Terms

4. Subscription & Payment

4.1 Pricing

Subscription fees are based on your selected plan and usage. Current pricing is available on our website or through your sales representative. We may modify pricing with 30 days' notice.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your designated payment method
• Overdue payments may result in service suspension

4.3 Free Trial

We may offer free trials. At the end of a trial period, your account will be converted to a paid subscription unless you cancel before the trial ends.

5. Data & Integrations

5.1 Your Data

You retain all rights to your manufacturing data, ERP data, financial records, and other information you provide to the Platform ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve our services.

5.2 Third-Party Integrations

By connecting third-party systems (SAP, Odoo, QuickBooks, etc.), you represent that:

• You have authority to grant access to those systems
• Your use complies with the terms of those third-party services
• We are not responsible for third-party system availability or changes

5.3 Read-Only Access

By default, Jackrabbit Ops operates in read-only mode. Write access to your connected systems is only enabled with your explicit authorization and can be revoked at any time.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Platform's operation
• Reverse engineer, decompile, or disassemble the Platform
• Use the Platform to compete with Jackrabbit Ops
• Share your account credentials with third parties
• Upload malicious code or content
• Circumvent usage limits or access controls

7. Service Level Agreement

We commit to 99.9% uptime for paid subscriptions, excluding scheduled maintenance and circumstances beyond our reasonable control. Details are available in our SLA documentation.

8. Intellectual Property

Jackrabbit Ops and its licensors own all rights to the Platform, including software, algorithms, designs, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license to use the Platform as described herein.

Feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation to you.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of using the Platform. This includes your manufacturing data, operational metrics, and our non-public features, pricing, and documentation.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While our AI provides insights based on your data, decisions made using the Platform are your responsibility. We do not guarantee the accuracy of AI-generated analysis or recommendations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JACKRABBIT OPS'S LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Jackrabbit Ops from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate these Terms:

• With 30 days' written notice
• Immediately if the other party materially breaches these Terms
• Immediately if required by law

Upon termination, your access to the Platform will cease. You may request export of Your Data within 30 days of termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court for intellectual property violations.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect. Your continued use after changes become effective constitutes acceptance.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Jackrabbit Ops
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive future enforcement
• Assignment: You may not assign these Terms without our consent
